In BookingIt, we facilitate, create, and manage online reservations with restaurants and other hospitality locations on your behalf. You can visit www.BookingIt.io. You can download our mobile app, click on widgets that integrate with our location websites or third parties that provide reservation management or related services, or other websites owned and operated by BookingIt. Please note that certain aspects of the services are only available to locations and their authorized representatives. Any reference in these terms of service applies to such users and locations. Registered Users access governs by separate agreements between BookingIt and each such location. Terms & Conditions apply to all who visit our website and use our services, directly or indirectly, or Individuals who make reservations with Locations (each, a "Guest" or "you" and its derivatives).

It is advisable before accessing our services, to visit our website, www.BookingIt.io, or any subdomain where you can read carefully our terms and conditions provided. They are subject to change and can be updated by us, time to time without notice. By using our services, you acknowledge to be bound by this agreement. Otherwise, if you do not agree to any of these terms, please do not use our Services. Our site and services are strictly for those who are 18 and above. Booking information may not be accessible by children under that age.

1. TERMS OF USE FOR CUSTOMERS:

I. DESCRIPTION OF SERVICES

BookingIt is a platform that caters to the next-generation restaurant booking for parties and get-togethers. A place where you can order food by using the latest mobile apps, website and most of the other social networking technologies. They allow you to find and order your favorite meal from your preferred restaurant by a snap of a finger.

However, booking is not a party to transact, sell any food products in your order. It has no control over the quality of the products, whereby restaurants may state ingredients or represent allergen-free or food preparation standards through their services. Such as specific food or beverages said to be nut-free, gluten-free, lactose-free, organic, or kosher. BookingIt does not investigate or verify the menus. Neither do they seek ingredients or food preparation standards, or any descriptions howsoever. In case you are allergic or faced with any food concern, you should contact the restaurant directly to address your specific needs. When you use our services, you agree that you understand all these, and you may not hold us responsible for any statement or omission that may concern your food product ordered.

II. RESERVATION OF SERVICES

Guests can make an online reservation that BookingIt provides at any of our participating locations. You are required to provide information such as; your name, phone number, e-mail address, along with any needed information from the area. By submitting your e-mail address, you agree to receive information about your reservation via e-mail. Bookings get confirmed by receiving e-mail, subject to the availability of the locations for your specified time, date, and party. Some places may require that you provide your credit card to make a reservation. Based on on-site and events, your credit card may be required to make your reservation. These can be a pre-payment; for example, booking reservations for a large party will guarantee you a ticket and helps the hotel prepare for their guests' arrival.

III. NO-SHOW POLICY

Being a responsible guest, you must comply with the location’s reservation and cancellation policy. In case that location does not provide such a system, BookingIt requires you to provide at least 30 minutes' notice of the reservation cancellation made through the service. You may either contact the location directly or through our service, and the same shall apply for a no-show situation whereby the location's sole discretion shall make the determination.

IV. LOCATION NO-SHOW AND CANCELLATION FEES

Whenever you make a reservation, BookingIt provides you with a location’s cancellation policy. It reads that you agree to pay for any applicable cancellation or no-show fees under the location's cancellation policy. Sometimes, The BookingIt location cancellation policy requires you to provide the credit card to confirm your reservation made.

Note that, BookingIt, may facilitate your payment to the location using stripe or another payment gateway.

V. COMMUNITY GUIDELINES

You are bound to agree and comply with these community rules by accessing and using our Services. That you will:

• You will not abuse our services in any unlawful manner.
• You should never engage in commercial or any fraudulent activities that include and not limited to raising money, advertising, product promotion, service, or product.
• Nor engage in a pyramid or any multi-tiered marketing scheme.
• You will not collect any market research or access the services for a competing business.
• You will not avail or use any content that may infringe on the company's copyright or trademark. Neither may you use the proprietary rights of any person that may include; their names, e-mail address, postal address, phone number, credit card number, or any other similar information.
• You will not threaten or torture, use any defamatory language. Avoid libelous or indecent, obscene, or immoral behavior. Do not invade someone's privacy.
• You will not falsely state or misrepresent your affiliation with a person or entity or impersonate a person.
• The use of automated means that includes spiders, robots, crawlers, data mining tools, or the like, downloading data or scraping data from the Platform, directly or indirectly, is prohibited. Except those that comply with our robots.txt file. That is internet search engines such as Google and non-commercial public archives (e.g., archive.org)
• You will never create several accounts for yourself, not for any reason, without limitation or trying to obtain the same promotion multiple times.
• You will not approach or attempt to advance access to any data, files, or passwords related to our services through hacking, password or data mining, or any dubious way.

The company reserve the right, in its sole and absolute discretion, to deny you (or any device or IP address) access to our Services without notice.

VI. PAYMENTS AND REFUND POLICY

As you pay for your orders for our Services, you agree that BookingIt may authorize your credit card or any preferred means for those orders under your password immediately. You must always keep your password confidential. You are the one responsible for all activities and charges that occur under your password, and liability for such costs shall continue after termination of this agreement. Based on the restaurant from which you order, all refunds are subject to their refund policies. Kindly note; In case you contact us for refunds. We do not process any refund until we receive approval from the applicable restaurant. Otherwise, we will use reasonable efforts to request any refund whenever necessary. BookingIt takes full responsibility for the security of our customer's cardholder data that we receive. We store, process, or transmit cardholder data, and we comply with the most current version of the Payment Card Industry Data Security Standard (PCI-DSS). We also adhere to laws, rules, and regulations that may be applicable.

VII. FEEDBACK OR SUGGESTIONS TO BOOKINGIT

We would love to overhear for any feedback or suggestions through e-mail. However, we urge you to refrain from e-mailing us any content that contains confidential information. Concerning all the e-mails you send to us including but not narrowed to any queries, comments, suggestions, and the like, we shall be encouraged to use any ideas, concepts, knowledge, or techniques contained in your communications which leads towards our company's development, production, or marketing of our products and services.

2. TERMS OF USE FOR RESTAURANTS

I. RESTAURANT PROFILE

If you create an account or restaurant profile on BookingIt.io, you will bear responsibility for managing the security of your account and profile. You will be fully responsible for all activities that occur under that account and any other actions taken with the pattern.

If any unauthorized uses of your profile or account happens, immediately notify BookingIt.io. Otherwise, we will not be liable for any acts or omissions done by you. Hence, you shall incur any damages as a result of such actions.

II. OUR RIGHTS TO USE YOUR CONTENT

You at this moment irrevocably waive and cause to be waived, against BookingIt and its users any allegations and assertions of moral rights or attribution concerning Your Content. By ‘Use’ we imply, use, distribute, copy, reproduce, publicly execute, change, translate, remove, advertise, analyze, or formulate derivative works of Your Content. In many different ways, your content can be --- reformed or public displayed that may incorporate it into advertisements and other marketing campaigns, promoting and distributing it anyhow and allowing third parties to do the same in connection with their websites and media platforms. You will grant us world-wide, non—exclusionary, persistent rights, sublicensable, royalty-free, assignable, transferable rights to use your content anyhow.

III. RESPONSIBILITY OF CONTRIBUTORS

You are entirely responsible if you operate an account, comment, post any material to BookingIt.io, post any links, or make (or allow any third party to make) material available (any such material, "Content"). You will be held responsible for the content of, and any harm resulting from that content. Regardless of what form the content takes, includes, but is not limited to, text, video, photo, code, or audio.  You grant BookingIt a world-wide, non-exclusionary and royalty-free right to modify and reproduce your content when you submit it to us. This license solely allows us to display, distribute, and promote your account. Therefore, BookingIt can make publicly-posted content available to third parties that BookingIt selects. The third parties can analyze, distribute (but not publicly display) your content through their services. Your license also permits other BookingIt.io users to share your content on other BookingIt.io websites. They can add their content or republish your content, so long as they use only a portion of your post, and they give you credit as the original author. Republishing function on BookingIt.io works automatically by linking back to your website. BookingIt will use reasonable efforts to remove any content that you delete from BookingIt.io. You should, however, acknowledge that caching or references to the content may not be immediate.

Without any limit of those representations or warranties, BookingIt has the right though not obligated to, in BookingIt's sole discretion, but:

• Can refuse or remove any content that, in BookingIt's reasonable notion, also violates any BookingIt policy or is in any harmful way or unacceptable.
• May terminate or withhold access to and use of BookingIt.io to any individual or entity for any reason. BookingIt will have no obligation howsoever to provide a refund of any amounts previously paid.

IV. SUBSCRIPTION TERMS

Subscriptions services like private accounts, SMS texting, offline, payment gateway, and even gift certificate are optional paid services; by selecting them, you agree to pay BookingIt, either monthly, quarterly, or annually, depending on the period you have subscribed. The payment will be charged on a pre-pay basis on the day you sign up for the specific Subscription Service.

V. AUTOMATIC RENEWAL

Your subscription service will renew automatically unless you notify BookingIt before the end of the applicable subscription period that you want to discontinue your subscribed service. Otherwise, we will assume your authorization to collect the appropriate: Annual, quarterly, or monthly subscription fee. For such Subscription Service (as well as any taxes) we will be using the credit card or another payment mechanism we have on our record for you. If you don't wish to continue your subscription after the subscribed period, you can cancel at any time in your restaurant's account Billing section dashboard.

VI. NO REFUNDS

If you wish to cancel your subscription service before the full-term elapses, unfortunately, BookingIt does not provide a refund. The Subscription service ends only on its expiration date.

VII. SUSPENSION FOR NON-PAYMENT

You will receive notice of non-payment of any due amount if any. If three days elapse after such notice and bearing unpaid amount, we may suspend your access to all or any of the Subscription Services of BookingIt. In case there are reasonable disputes regarding the applicable charges while cooperating ardently to resolve the dispute, we will not suspend the Subscription Service. But if a Subscription Service suspended due to non-payment, then we may charge a re-activation fee to renew your subscription.

VIII. TERMINATION OF SUBSCRIPTION

There are conditions that either party may terminate this agreement for this cause, as to any or all Subscription Services:

(i) Thirty days' notice period to the other party in case of a material breach and such remains unresolved at the expiration of such period

(ii) If the other party bears the subject of a suit in bankruptcy or insolvency, suspension of business, liquidation, or assignment for the interests of creditors.

(iii) This agreement can also be terminated by us, in the cause of thirty (30) days' notice, if we figure out that you are acting or acted in a way that harmed us, our prospects, or our customers.

Other than mentioned, the agreement may not otherwise get terminated until the Subscription Term ends.

IX. SUSPENSION AND TERMINATION OF FREE SERVICES

We may have the sole right to suspend your subscription limit or terminate the Free Services for any reason that deems necessary, at any time without notice. The reason for terminating your subscription to the Free Services can be due to your inactivity.

3. INTELLECTUAL PROPERTY RIGHTS

BookingIt content; visual interfaces, graphics, compilation, information, design, computer codes and Services, and all other downloadable software elements are owned and operated by BookingIt. The United States and international copyright also protect us which includes trademark, trade dress, patent, and all relevant intellectual property and proprietary laws and rights. All the content is the copyright property of BookingIt or its subsidiaries, affiliated companies and licensors. You have no right to sell, distribute, copy, modify, or publicly execute or display BookingIt content. Nor shall you, transmit, publish, adapt, edit or create derivative works from the content, or otherwise make unauthorized use of the BookingIt Services. Neither BookingIt nor a third party grants you any right or license under any intellectual property rights beyond the limited rights to access the service, make or manage the reservations with Locations. 

4. MODIFICATION OF THE TERMS

Updates and modifications of BookingIt Terms and Conditions can be done any time without prior notice. The Terms will identify the date of the last update. By using the BookingIt Service and following any such change, it constitutes your agreement to be bound by the modified Terms. If there are any significant material changes to the Terms, BookingIt will make reasonable efforts to reveal you of such amendment by sending an e-mail to your registered address provided, sometimes over a pop-up notification on the website, or other related mechanisms. This page will have information updates and the latest modifications, which can benefit you if you visit frequently.

5. THIRD-PARTY SITES

Third-party website links in our services, are provided solely as an assistance to you and not as an endorsement by us, or the content of such external sites. Such External Sites content is developed and provided by others. If you have any concerns regarding them, you should contact the site administrator or webmaster, for we are not answerable for the content of any linked External Sites. Neither do we make any representations regarding the content or accuracy of materials on those External Sites. Take precautions when downloading files from all or unknown websites, to protect your computer from virus attack and other destructive programs. It will be upon your own risk accessing linked External Sites.

6. TERMINATION OF SERVICES

Your access to the service may be terminated by BookingIt, for any reason in its sole discretion. That means any license or permission granted hereunder, will discontinue after your termination. With or without notice, BookingIt will not be liable to you or any third party for such termination. Concerning any dissatisfaction with our service, write to us at [email protected]. Your concern could be:

• Bad Service.
• Our Terms and Policy.
• The practice of BookingIt in-service operating.
• The content or information that is transmitted or made available through the service.

7. INDEMNIFICATION

You solely agree to indemnify and hold harmless BookingIt; it's parent subsidiaries, affiliates, or any related companies, licensors, and suppliers. Their corresponding directors, officers, employees, agents, representatives, and contractors, also, all other BookingIt users that access content available via the service, from all damages, injuries, liabilities, costs, fees, and expenses that may include legal and accounting fees. Such arisings could be in any way related to your:

• Use or misuse of the service (including Your use or misuse of Third-Party Content)
• User Content
• Violation of these Terms
• Violation of a person's right or entity that may include allegations that any User Content breaches or defies any third party intellectual property rights.

At your expense, BookingIt may assume the exclusive defense and control of any matter required to indemnify us. You will cooperate and agrees with all our case of these assertions. Subject to indemnification, you may not settle any matter under this Section without prior written consent from BookingIt. We at BookingIt will use reasonable efforts to reveal you of any such claim, action, or proceeding that may happen.

8. DISCLAIMER OF WARRANTIES

Without any limitations, BookingIt provides services as it is. Its suppliers and licensors at this moment disavow all warranties of any kind express or implied that includes, without limitation, the warranties of merchantability or any fitness for a particular purpose that is non-imposing. Neither BookingIt nor the above mentioned should make any warranty that our Services will be bug-free or that access to it will be regular or uninterrupted.

9. LIMITATION OF LIABILITY

BookingIt, licensors or its suppliers will not be liable at all concerning any subject matter of this agreement under any bond, negligence, strict liability, or other legal or equitable theory for:

• Any kind of incidental or consequential damages lost profits or losses resulting from lost data or business interruption. It may result from the use or inability to access and use the services or the content, despite the fact we even made you aware of the possibility of such damages.
• Any direct damages are not attributable to personal injuries that you may suffer as a result of your use of the services, or its content shall be limited to the expenses you have paid us for your use of the services during the three (3) months immediately, past the events giving rise to the claim.
• The procurement cost of substitute products or services.

10. COMPLIANCE WITH APPLICABLE LAWS

The Services are protected and based in the United States. We do not make claims concerning whether the content may be downloaded, viewed, or be appropriate for use outside of the United States. Therefore, accessing the Services or the Content-based outside of the United States, you do so at your own risk. Anyhow, whether you are inside or outside the United States, it is your sole responsibility to ensure conformity with the laws of your specific jurisdiction.

11. ARBITRATION RULES

Either party may elect a binding governed by the Federal Arbitration Act. (FAA), in the situation of a dispute arising under or relating to this Agreement or any other concerned products or services provided by BookingIt. Arbitration and any election shall be final and binding on the other party. IN THE CASE WHERE EITHER PARTY CHOOSES ARBITRATION, NEITHER SHALL HAVE THE RIGHT TO LITIGATE SUCH CLAIM IN COURT, NOR HAVE A JURY TRIAL. THE RIGHTS OF APPEAL MAY BE LIMITED ALSO IN ARBITRATION AND ANY DISCOVERY. Except for a limited right of appeal under the Federal Arbitration Act, all disputes get concluded before a neutral arbitrator, whose judgment will be eventual. Enforcement of Arbitrator award may be from any court in Los Angeles, California. The Judicial Arbitration and Mediation Services ("JAMS") shall be the one to administer according to JAMS' Streamlined Arbitration Rules and Procedures where applicable. Otherwise shall be per its Comprehensive Arbitration Rules and Procedures under accordance with the Expedited Procedures in those Rules (the "JAMS Rules"). The same as determined under the JAMS Rules, such disputes will be resolved by the arbitrator who may be conducted in person, through the submission of documents, by phone or online. If the arbitrator shows himself as a person, he shall take place in Los Angeles, California. Both parties may prosecute in court, compelling arbitration, or a stay proceeding pending arbitration, or to affirm or modify, revoke or enter judgment on the award entered by the arbitrator. In addition to that, we may bring an action for injunctive relief, which can be in any court of competent jurisdiction.

12. CLASS ACTION WAIVER

In case of dispute, you agree that any arbitration or proceeding shall be limited to that dispute between you and us individually. To the complete scope permitted by law:

• No procedure or arbitration shall join with any other party
• No right or authority for any Dispute will be arbitrated or settled on a class action basis or utilizing the class action procedures
• No dispute right or authority brought in a professed representative capacity considering any other person or the general public
• Overall, you agree that you may only bring claims against us only in your individual ability, not as a litigant or class member in any purported class or representative proceeding.

13. MISCELLANEOUS

Expressly you acknowledge that this agreement happens in the State of California. The arbitration of this agreement shall be administered and construed under the domestic laws of the State of California without considering the principles of laws conflicts. In case this agreement is terminated following the Termination provision above, it shall not alter the potency of the following provisions of this agreement including Payment, refunds, deliveries, intellectual property, communications to BookingIt, no warranties of liability, indemnification, termination of the agreement, arbitration, class action waiver, and miscellaneous policies. Failing to act on or enforce any provision of this agreement shall not be interpreted as a waiver of it or any other provision in this agreement. Unless made in writing, no waiver shall be effective against us or interpreted as a waiver in any other or consequent instance except as agreed by us and you in writing.

The agreement establishes the entire agreement between you and us concerning the subject matter. It supersedes all the previous or contemporaneous agreements, whether written or oral. All the section headings are provided merely for accessibility and shall not get any legal importance. This agreement corresponds to the benefit of our successors, assigns, licensees, and sublicensees.
